End User License Agreement

This End User License Agreement (“EULA”) governs your access to and use of all software, applications, APIs, artificial intelligence systems, messaging automation tools, synthetic voice technology, integrations, and related services (collectively, the “Software”) provided by HMS Innovations LLC, a FL limited liability company, doing business as RipDrip (“HMS Innovations,” “RipDrip,” “we,” “us,” or “our”).


This EULA applies to all RipDrip products and services, including but not limited to RipDrip-DM, RipDrip-AI, and any successor, beta, or related offerings, and to all websites and domains operated by HMS Innovations, including ripdrip.ai, ripdrip.com, and all subdomains.


By installing, accessing, or using the Software, you agree to be bound by this EULA.
 If you do not agree, you must not use the Software.

1. Relationship to Other Agreements


This EULA is incorporated into and forms part of the HMS Innovations Terms of Service and Privacy Policy, which are incorporated herein by reference.


In the event of a conflict:

 

  • an executed enterprise agreement or rider controls;

  • then the Terms of Service;

  • then this EULA.

 

 

2. License Grant


Subject to your compliance with this EULA and the Terms of Service, HMS Innovations grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes and only in connection with accounts, phone numbers, social profiles, calendars, and messaging channels that you own or are authorized to control.


All rights not expressly granted are reserved by HMS Innovations. Your use of the Software may be subject to fees, including usage fees, as set forth in the Terms of Service. Such fees are subject to change in accordance with the Terms of Service.

2.1 Fees

Your use of the Software may be subject to subscription fees, usage fees, and other charges as set forth in the Terms of Service. Applicable fees, including usage fees, will be communicated prior to purchase and are subject to change in accordance with the Terms of Service. By using the Software, you agree to pay all applicable fees as described in the Terms of Service.

3. Scope and Operation of the Software


The Software enables messaging automation and workflow functionality across multiple channels, including social-media platforms and SMS, and may include artificial intelligence–driven responses, user-defined automation logic, and optional synthetic voice output.


The Software operates as follows:


3.1 RipDrip-DM (Inbound Social Messaging)

 

  • The Software connects to supported third-party social-media platforms using authorized integrations.

  • The Software generates responses only to inbound messages initiated by third parties.

  • Responses may be generated using artificial intelligence and, if enabled, synthetic voice technology.

  • The Software does not initiate outbound or unsolicited social-media messages.


3.2 RipDrip-AI (SMS Messaging)


(a) Initial Outbound SMS

 

  • The initial outbound SMS message is authored, selected, or provided by you.

  • HMS Innovations does not author, approve, or validate initial outbound SMS content unless explicitly labeled otherwise.

  • You are solely responsible for the content, purpose, recipients, timing, and legality of the initial outbound message.


(b) AI-Generated SMS Continuation

 

  • After a recipient replies, the Software may automatically generate and send subsequent SMS responses using artificial intelligence.

  • AI behavior is guided by User Configuration Data you provide, including prompts, workflows, decision logic, rebuttals, and instructions.


All SMS messages sent through the Software — whether user-generated or AI-generated — are:

 

  • sent on your behalf,

  • treated as your statements,

  • materially influenced by your configuration.


HMS Innovations is not the sender, initiator, publisher, author, or decision-maker for any message.

4. Artificial Intelligence Disclaimer


You acknowledge and agree that:

 

  • AI-generated outputs may be inaccurate, incomplete, misleading, offensive, or inappropriate;

  • AI outputs are probabilistic and not deterministic;

  • outputs depend materially on your inputs, configuration, and data;

  • you bear sole responsibility for the use of AI outputs.


HMS Innovations does not guarantee the accuracy, legality, or suitability of any AI-generated content.

5. User-Directed Configuration


You configure the Software’s behavior through prompts, scripts, workflows, decision trees, rebuttals, Q&A logic, and other inputs (“User Configuration Data”).


You acknowledge that:

 

  • AI outputs are materially influenced by your configuration;

  • you are solely responsible for all outputs generated and sent on your behalf;

  • HMS Innovations does not exercise editorial control over individual outputs beyond general system-level guardrails and compliance-related adjustments.

 

6. Voice Technology and Synthetic Speech


6.1 Voice Data License


If you upload voice recordings or samples (“Voice Data”), you grant HMS Innovations a limited, non-exclusive, royalty-free license to use, reproduce, modify, and synthesize such Voice Data solely to operate the Software on your behalf.


6.2 Authorized Voice Representation


You represent and warrant that:

 

  • Voice Data is your own voice, or

  • you possess all legal rights, permissions, and consents necessary to use such Voice Data.


You may not upload, clone, or synthesize the voice of any unauthorized third party.


6.3 Assumption of Risk


Synthetic voice outputs may be indistinguishable from natural human speech.
 You assume all risks associated with reliance, misinterpretation, reputational harm, regulatory scrutiny, and legal consequences arising from synthetic voice usage.

7. Third-Party Platforms, Messaging Providers, and Calendars


7.1 Third-Party Dependencies


The Software interoperates with third-party platforms, Messaging Providers, carriers, intermediaries, registries, calendar providers (including Google Calendar), and other vendors.


You acknowledge that:

 

  • these third parties operate independently;

  • approvals, enforcement actions, filtering, throttling, or suspensions are outside HMS Innovations’ control;

  • access, delivery, or functionality may change or be restricted at any time.


7.2 Calendar Integrations


If you connect a calendar provider, you authorize the Software to access and process calendar data you permit to provide scheduling-related functionality.


You remain solely responsible for calendar accuracy, scheduling decisions, and any consequences arising from calendar actions.

8. Ownership and Intellectual Property


8.1 User Content


You retain ownership of your content, configurations, messages, calendar data, and Voice Data (“User Content”), subject to the licenses granted herein.


8.2 Anonymized & Aggregated Usage Data


HMS Innovations exclusively owns all Anonymized & Aggregated Usage Data, defined as analytics, metrics, trends, patterns, system performance data, model learnings, embeddings, weights, and other derived information generated from operation of the Software in aggregated and irreversibly anonymized form such that it cannot reasonably identify any individual, account, phone number, calendar event, recipient, or specific message.


Such data:

 

  • is not User Content;

  • does not constitute Personal Data;

  • may be used, commercialized, licensed, sold, or otherwise exploited for any lawful purpose.


You waive any claim to such data.

9. Messaging Compliance (SMS-Specific)


You acknowledge and agree that you are solely responsible for compliance with all laws, regulations, and rules governing SMS messaging, including but not limited to:

 

  • the Telephone Consumer Protection Act (TCPA) and related state laws;

  • consent, opt-in, opt-out, disclosure, and recordkeeping requirements;

  • CTIA Messaging Principles and Best Practices;

  • carrier and Messaging Provider policies;

  • quiet hours, frequency limits, and prohibited content rules.


HMS Innovations may assist with registration, vetting, remediation, and appeals as an operational service, but does not assume responsibility for compliance outcomes.

10. Prohibited Uses


You may not use the Software to:

 

  • impersonate others without authorization;

  • engage in fraud, harassment, or unlawful conduct;

  • upload unauthorized voice data;

  • violate platform, carrier, registry, or provider rules;

  • send unlawful or non-compliant messages;

  • interfere with system integrity or compliance mechanisms.

 

 

11. Regulated-Industry Use


If you use the Software in regulated industries (including healthcare, finance, insurance, legal, political communications, or telecommunications), you acknowledge that:

 

  • the Software is not designed to ensure regulatory compliance;

  • you are solely responsible for compliance with all applicable laws and regulations;

  • HMS Innovations disclaims all liability arising from regulated-industry use.

 

12. Indemnification


You agree to indemnify, defend, and hold harmless HMS Innovations and its officers, directors, employees, contractors, affiliates, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:

 

  • Any message sent on your behalf through the Software, including:
     

    • user-generated outbound SMS,

    • AI-generated SMS replies,

    • AI-generated social-media messages,

    • synthetic voice responses;

 

  • User Configuration Data and AI setup inputs;

 

  • Violations or alleged violations of TCPA, CTIA rules, carrier policies, registry requirements, or consent obligations;

 

  • Brand or campaign registration information you provide, including inaccuracies or omissions;

 

  • Third-party enforcement actions, including suspensions, blocking, throttling, filtering, or rejections;

 

  • Use or misuse of synthetic voice technology;

 

  • Any allegation that content was misleading, deceptive, defamatory, unlawful, or harmful, regardless of whether generated automatically or manually.


This indemnity applies regardless of whether HMS Innovations assisted in registration, remediation, or appeals.

13. Disclaimer of Warranties


THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
 HMS INNOVATIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

14. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW:

 

(a) NO LIABILITY FOR CERTAIN CATEGORIES.


IN NO EVENT SHALL HMS INNOVATIONS BE LIABLE FOR ANY CLAIMS, DAMAGES, LOSSES, OR LIABILITIES ARISING OUT OF OR RELATING TO:

(i) ANY MESSAGE SENT THROUGH THE SOFTWARE, INCLUDING USER-GENERATED SMS, AI-GENERATED SMS REPLIES, AI-GENERATED SOCIAL MEDIA MESSAGES, OR SYNTHETIC VOICE OUTPUTS;

(ii) ANY ARTIFICIAL INTELLIGENCE OUTPUT, AUTOMATED DECISION, OR USER CONFIGURATION DATA;

(iii) COMPLIANCE OR ALLEGED NON-COMPLIANCE WITH TCPA, CTIA RULES, CARRIER POLICIES, REGISTRY REQUIREMENTS, OR CONSENT OBLIGATIONS;

(iv) SUSPENSION, BLOCKING, FILTERING, THROTTLING, REJECTION, OR ENFORCEMENT ACTION BY ANY PLATFORM, CARRIER, MESSAGING PROVIDER, REGISTRY, OR INTERMEDIARY;

(v) LOSS OF BUSINESS, LOST PROFITS, LOST REVENUE, LOST GOODWILL, OR REPUTATIONAL HARM;

(vi) USE OR MISUSE OF SYNTHETIC VOICE TECHNOLOGY.

FOR ALL SUCH CLAIMS, HMS INNOVATIONS SHALL HAVE NO LIABILITY WHATSOEVER.

(b) GENERAL LIABILITY CAP.


TO THE EXTENT HMS INNOVATIONS IS FOUND LIABLE FOR ANY CLAIM NOT EXPRESSLY EXCLUDED ABOVE, ITS TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS (US $100).

(c) BASIS OF THE BARGAIN.


THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS OF LIABILITY ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND THAT HMS INNOVATIONS WOULD NOT PROVIDE THE SOFTWARE WITHOUT THESE LIMITATIONS.

 

 

15. Arbitration and Governing Law


Any dispute arising out of or relating to this EULA or the Software shall be resolved by binding arbitration, conducted on an individual basis.


Class actions and jury trials are waived.


This EULA is governed by the laws of the Florida, without regard to conflict-of-laws principles.

16. Modifications and Continued Use


HMS Innovations may modify this EULA, and applicable fees, at any time. Fee modifications are governed by Section 15 of the Terms of Service.


 Continued use of the Software after changes constitutes acceptance of the revised EULA.

17. Termination


This license remains in effect until terminated.


HMS Innovations may suspend or terminate access to the Software at any time for legal, compliance, security, or platform-related reasons.


Sections relating to ownership, disclaimers, indemnification, limitation of liability, arbitration, and governing law survive termination.

18. Entire Agreement


This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and HMS Innovations regarding the Software.
